Terms of Service

These Terms of Service ("Terms") govern your access to and use of this website (the "Site") and any wholesale orders placed with Casa Verde Microfarm ("Casa Verde," "we," "us," "our"). By using the Site or placing an order with us, you agree to these Terms. If you do not agree, please do not use the Site or submit an inquiry.
1. About Casa Verde and this site
Casa Verde Microfarm is a microgreens grower based in Vaudreuil-Dorion, Québec, supplying chefs, restaurants, and trade professionals in Greater Montreal and the surrounding region.
This Site is a catalogue. There is no online checkout, shopping cart, or consumer payment flow. Orders are arranged directly by email or phone after an initial wholesale inquiry, on the terms we confirm in writing at that time.
2. Eligibility and wholesale relationship
The Site is intended for adult trade buyers — chefs, restaurant operators, caterers, grocers, and related foodservice professionals. By submitting an inquiry you represent that you are acting on behalf of a business and are authorized to bind that business.
Becoming a wholesale customer does not create an exclusive relationship. Either party may end the commercial relationship at any time, subject to any outstanding orders already confirmed.
3. Orders, pricing, and availability
Prices shown on the Site are indicative and may change based on harvest conditions, seasonality, and production capacity. The binding price for any order is the price we confirm in writing at the time the order is placed.
All orders are subject to availability. Because our product is cut to order from live trays, we may adjust confirmed quantities or substitute equivalent varieties if a crop underperforms, and we will notify you before delivery when this occurs.
An order is accepted only when we confirm it in writing (email). A quote, product listing, or verbal discussion does not on its own constitute a binding order.
4. Delivery, acceptance, and risk of loss
We offer free delivery to addresses within our standard service zone (Greater Montreal and the surrounding region). Delivery outside this zone is quoted separately.
Product is harvested the morning of delivery. Risk of loss passes to you on delivery to the agreed address or to a representative at your location. If no one is available to receive the delivery, we will leave it at the agreed drop point where reasonably practical.
Delivery windows are best-effort. We are not liable for delays caused by weather, traffic, vehicle issues, or other circumstances outside our reasonable control.
5. Quality guarantee and claims
Every tray is grown and cut to order to meet our freshness standard. You are expected to inspect product on arrival and to notify us of any quality concerns within twenty-four (24) hours of delivery, with photographs where possible.
For any product that does not meet our cut-to-order standard when claimed within this window, we will replace the product or issue a credit toward your next order, at our discretion. Claims made after twenty-four (24) hours may not be honoured.
6. Payment terms
Unless otherwise agreed in writing, invoices are due within the payment terms stated on the invoice (typically net 15 or net 30 days from invoice date).
Overdue amounts may be subject to reasonable interest charges and may result in suspension of further deliveries until the account is brought current. You remain responsible for the reasonable costs of collection, including legal fees where applicable.
All prices are exclusive of applicable taxes (GST, QST, and any other taxes legally required) unless otherwise stated.
7. Cancellations and changes
Because crops are planted to order, cancellations or reductions to confirmed orders must be communicated as early as possible. For standing orders, changes with less than forty-eight (48) hours’ notice before the scheduled delivery may still be invoiced in full to cover production already committed.
8. Intellectual property
All content on the Site — including text, photographs, product descriptions, brand marks, logos, and layout — is owned by Casa Verde or used under licence, and is protected by Canadian and international intellectual-property laws.
You may view and share links to pages on the Site for personal or professional reference. You may not copy, reproduce, republish, or use Site content for commercial purposes without our prior written permission. Press, media, and partner use by prior arrangement is welcomed.
9. Acceptable use of the site
You agree not to: attempt to disrupt, overload, or gain unauthorized access to the Site or its underlying infrastructure; use automated tools to scrape content at a rate likely to degrade service; submit false, misleading, or abusive information through any form; or use the Site in any way that violates applicable law.
We may suspend or terminate access for any user who violates these provisions, without notice.
10. Third-party services and links
The Site is hosted by Vercel and uses a small number of third-party services (email delivery, catalogue source data) described in our Privacy Policy. The Site may also link to external websites — for example, restaurants featured on our trust wall. We are not responsible for the content, availability, or practices of any third-party site.
11. Disclaimers
The Site and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Casa Verde disclaims all warranties — express, implied, or statutory — regarding the Site, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We work to keep product information accurate, but descriptions, photographs, and availability on the Site are indicative and may differ from any given week’s production. The confirmed order terms we send you in writing take precedence over any information shown on the Site.
12. Limitation of liability
To the maximum extent permitted by applicable law, Casa Verde’s total liability arising out of or relating to any order, the Site, or these Terms shall not exceed the amount you paid for the specific order giving rise to the claim.
In no event will Casa Verde be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or loss of goodwill, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot be limited or excluded under applicable Québec or Canadian consumer-protection law.
13. Indemnification
You agree to indemnify and hold Casa Verde harmless from any third-party claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any applicable law.
14. Governing law and disputes
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
The parties agree that any dispute arising out of or relating to these Terms or any order will be brought exclusively before the competent courts of the judicial district of Montréal, Québec, subject to any non-waivable right of a consumer to bring proceedings in their place of residence.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date; continued use of the Site or placement of new orders after an update constitutes acceptance of the revised Terms. For significant changes affecting active customers, we may also notify you by email.
